1. Acceptance of Terms

By accessing or using PrecisionOps ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

1.1 Eligibility

You must be at least 18 years of age to use this Service. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

1.2 Agreement to Policies

These Terms incorporate by reference our Privacy Policy. By accepting these Terms, you also agree to that policy.

2. Service Description

2.1 Overview

PrecisionOps is a field service management platform designed for HVAC contractors and trade professionals. The Service provides tools for job management, scheduling, dispatching, customer management, invoicing, payments, diagnostics, reporting, and team coordination.

2.2 Platform Access

The Service is available on mobile devices (Android and iOS), desktop computers (Windows, macOS, Linux), and web browsers (customer portal).

2.3 Offline-First Architecture

PrecisionOps is designed with an offline-first architecture. Data is stored locally first, then synchronized to cloud servers when an internet connection is available.

3. User Accounts and Responsibilities

3.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials, all activities under your account, and immediately notifying us of any unauthorized use.

3.2 Free Trial Terms

Each individual or business entity is entitled to ONE free trial. Creating multiple accounts to extend or repeat trial periods is prohibited and may result in account termination.

3.3 Your Regulatory Compliance

YOU are solely responsible for maintaining compliance with all applicable laws and regulations. PrecisionOps is a tool to help you manage your business—it does not ensure or guarantee your compliance.

4. Referral Program

PrecisionOps offers a referral program that allows eligible subscribers to earn discounts by referring new customers. Participation is voluntary and subject to the following terms.

4.1 Eligibility

To participate in the referral program, you must:

  • Have an active, paid PrecisionOps subscription in good standing
  • Not be in violation of any terms of service
  • Use your unique referral code for all referrals

4.2 Discount Structure

Discounts are calculated based on the ratio of referred seats to your own seat count:

2x your seat count20% off base subscription
3x+ your seat count30% off base subscription (maximum)

Example: A 5-seat company must refer 5 seats for 10%, 10 seats for 20%, or 15+ seats for the maximum 30% discount.

4.3 Qualifying Referrals

For a referral to count toward your discount:

  • The referred account must use your unique referral code at signup
  • The referred account must maintain an active, paid subscription for a minimum of 3 consecutive months
  • The referred account must remain in good standing (no fraud, abuse, or terms violations)

4.4 Discount Application

Referral discounts apply ONLY to the base PrecisionOps subscription fee. Discounts do NOT apply to: add-on services, integrations (QuickBooks, phone numbers, etc.), payment processing fees, or any third-party service fees.

4.5 No Stacking of Discounts

Discounts do not stack. You may only have one active discount applied to your subscription at any time. This includes but is not limited to:

  • Referral program discounts
  • Founders Program pricing
  • Promotional or seasonal discounts
  • Partner or affiliate discounts
  • Any other discount programs we may offer

If you qualify for multiple discounts, the single largest discount will be applied automatically. Founders Program members: Your 50% lifetime rate cannot be combined with other discounts. Instead, Founders who make qualifying referrals will receive service credits that can be applied toward add-on services or future billing.

4.6 Dynamic Discount Adjustment

Your discount tier is recalculated monthly based on the ratio of qualifying referrals to your current seat count:

  • If referred accounts cancel or become inactive, your discount tier will decrease accordingly
  • If referred accounts are suspended for terms violations, they no longer count toward your discount
  • If your team grows, your ratio changes gradually. A 5-seat company with 15 referrals (3x = 30% off) that adds a few people might drop to 20%—not lose everything. Growth means more revenue, and tier changes are incremental.
  • To maintain or increase your tier as you grow, continue referring
  • Discount changes take effect on your next billing cycle

4.7 Prohibited Referral Activities

The following activities are prohibited and may result in disqualification from the program and/or account termination:

  • Self-referrals (referring accounts you own or control)
  • Creating fake accounts to generate referrals
  • Paying or incentivizing others to sign up solely for referral credit
  • Misrepresenting the referral program terms to potential referrals
  • Using spam, misleading advertising, or deceptive practices to obtain referrals
  • Sharing referral codes on coupon/deal websites without authorization

4.8 Program Modifications

We reserve the right to modify, suspend, or terminate the referral program at any time with 30 days' notice. Existing earned discounts will be honored through the current billing period. Continued participation after changes constitutes acceptance of modified terms.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service only for lawful purposes related to managing your field service business operations.

5.2 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose
  • Attempt unauthorized access to any part of the Service
  • Reverse engineer or decompile the Service
  • Resell or redistribute the Service without authorization
  • Use the Service for competitive intelligence
  • Sign up with false information or for fraudulent purposes

6. Intellectual Property

6.1 Our Ownership

Washburn Solutions LLC owns all rights to the PrecisionOps software, trademarks, and documentation.

6.2 Your Data Ownership

You retain all ownership rights to the data you enter into the Service, including customer information, job records, photos, and documents.

7. Data and Privacy

Our collection and use of your information is governed by our Privacy Policy. You may export your data at any time through the Service's export features.

YOU ARE SOLELY RESPONSIBLE FOR THE ACCURACY OF YOUR DATA. We do not verify or audit the data you enter. Incorrect data will result in incorrect outputs.

8. Third-Party Services

The Service integrates with various third-party services:

Your use of third-party services is subject to their own terms and privacy policies. We are not responsible for third-party service failures or practices.

8.1 SMS Communication Services

PrecisionOps uses Twilio to provide SMS messaging capabilities. The following terms apply to SMS features:

Base SMS Features (Included)

All subscriptions include one-way SMS from a shared phone number for appointment reminders and "on my way" notifications. Messages include your company's callback number so customers can reply or call directly.

Dedicated Business Line Add-on ($5/month)

The dedicated business line provides:

  • Your own phone number for two-way SMS and voice calls
  • Inbound and outbound calling capabilities
  • Number portability—if you cancel your subscription, you may port your number to another carrier within 30 days of cancellation

SMS Fair Usage Policy

SMS features are intended for legitimate business communication with your customers. The following restrictions apply:

  • Messages must be related to scheduled or completed service appointments
  • Mass marketing, spam, or unsolicited promotional messages are prohibited
  • You must honor customer opt-out requests promptly
  • Excessive usage that impacts service quality may result in rate limiting

We reserve the right to suspend SMS features for accounts that violate this policy or Twilio's Acceptable Use Policy.

Number Portability

If you subscribe to a dedicated business line and later cancel your PrecisionOps subscription:

  • You have 30 days from cancellation to initiate a port-out request
  • We will cooperate with your new carrier to complete the transfer
  • Standard carrier porting timelines apply (typically 1-3 business days)
  • After 30 days, the number may be released back to the carrier pool

8.2 SMS Consent and TCPA Compliance

This section applies to end customers who receive SMS messages from businesses using PrecisionOps.

Consent to Receive Text Messages

By providing your mobile phone number to a service provider using PrecisionOps—whether through online scheduling, phone booking, in-person service requests, or other means—you expressly consent to receive automated text messages (SMS/MMS) from that service provider related to your service appointments and account.

Types of Messages

Messages you may receive include:

  • Appointment confirmations and scheduling updates
  • Appointment reminders (typically 24 hours and 1 hour before service)
  • Technician dispatch notifications ("Your technician is on the way")
  • Estimated arrival time updates
  • Service completion notifications
  • Invoice and payment links
  • Follow-up satisfaction surveys
  • Maintenance reminders for equipment serviced

Message Frequency

Message frequency varies based on your service activity:

  • Per appointment: 3-8 messages (confirmation, reminder, on-the-way, completion, invoice)
  • Ongoing customers: Additional messages for maintenance reminders and follow-ups
  • Maximum: No more than 20 messages per month under normal service patterns

Standard Messaging Rates

Message and data rates may apply. Text messaging rates are determined by your mobile carrier and wireless plan. PrecisionOps and your service provider are not responsible for any messaging or data charges.

How to Opt Out

You may opt out of receiving text messages at any time by:

  • Reply STOP to any message you receive
  • Contact your service provider directly and request removal
  • Update your communication preferences in the customer portal (if available)

After opting out, you will receive a single confirmation message. No further messages will be sent unless you opt back in. Opting out of SMS does not cancel your service appointments.

How to Get Help

For help with text messages:

  • Reply HELP to any message for assistance
  • Contact your service provider directly using the phone number or email in your messages

Privacy and Data Use

Your phone number and messaging history are handled according to our Privacy Policy:

  • Your phone number is used solely for service-related communications
  • Your number will not be sold to third parties
  • Your number will not be used for marketing unrelated to your requested services

Supported Carriers

SMS services are supported on all major U.S. carriers including AT&T, Verizon, T-Mobile, and most regional carriers. Some carriers may have delivery delays outside our control.

Consent Methods

Customers may provide SMS consent through the following methods:

  1. Web/Online Booking: Checking the SMS consent checkbox when scheduling service online
  2. Phone Booking: Verbal consent provided to office staff when scheduling by phone (logged in system)
  3. In-Person: Verbal consent provided to technician when requesting service on-site (logged in system)
  4. Customer Portal: Enabling SMS notifications in account communication preferences
  5. Text-to-Subscribe: Texting a keyword (e.g., "YES") to the service provider's number when prompted

All consent is recorded with timestamp and method in the PrecisionOps system prior to any messages being sent.

9. Disclaimers and Limitations

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

9.2 Built-In Tools Disclaimer

Calculators and diagnostic tools are for reference and decision-support only. They are NOT substitutes for properly calibrated instruments, licensed equipment, or manufacturer specifications. You are solely responsible for using proper measurement equipment and making final service decisions based on professional judgment.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Washburn Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Washburn Solutions LLC from claims arising out of your use of the Service, your data, your business operations, your customers, and your employees.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating formal dispute resolution, contact us at legal@washburnsolutions.com to attempt to resolve any dispute informally.

11.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

11.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12. Termination

You may cancel your account at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or if required by law. Upon termination, you should export your data before the retention period ends (90 days general data, 7 years financial records).

13. Changes to Terms

We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice. Your continued use after changes take effect constitutes acceptance.

14. General Provisions

  • Governing Law: These Terms are governed by the laws of the State of Idaho.
  • Entire Agreement: These Terms constitute the entire agreement between you and Washburn Solutions LLC regarding the Service.
  • Severability: If any provision is unenforceable, the remaining provisions continue in effect.
  • Force Majeure: We are not liable for delays due to circumstances beyond our control.
